Terms and Conditions

1. Introduction and Acceptance of Terms

These Terms and Conditions (the "Terms") govern access to and use of the Skillvora platform, including the website, dashboard, and any related services made available by Skillvora ("Skillvora", "we", "us", "our") to any individual or organisation that creates an account ("Customer", "you", "your").

By creating an account, subscribing to a package, or otherwise accessing or using Skillvora, you confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy and any package-specific terms referenced at checkout. If you do not agree to these Terms, you must not access or use Skillvora.

You must be at least 18 years old and have the legal authority to bind the business or organisation on whose behalf you are creating an account. If you are entering into these Terms on behalf of a company or other entity, you confirm that you have the authority to do so.

2. Description of the Service

Skillvora is a web-based business management software (SaaS) platform designed for small businesses, freelancers, consultants, agencies and other service-based businesses. The platform combines customer relationship management (CRM), project management, HR administration, and financial record-keeping tools within a single online dashboard.

Through their subscription, Customers can, among other things: manage customer records, leads and sales pipelines; track follow-ups and customer history; organise projects, tasks, deadlines and team assignments; maintain employee records, leave management, onboarding and employee documents; and create invoices, record income and expenses, monitor payment status, and generate business reports.

Skillvora is a software provider only. We do not hold or transmit customer funds on behalf of third parties, process payroll, act as a payroll or employer-of-record service, provide accounting, tax, financial, investment or legal advice, file tax returns on behalf of Customers, or provide any regulated financial service. Nothing in the platform, its outputs (including reports) or any related communications should be construed as professional advice of that kind.

All financial and HR information managed through the platform is entered by Customers for their own business purposes. Customers remain solely responsible for the accuracy, use and legal compliance of their own records.

3. Eligibility and Account Registration

To use Skillvora you must register for an account, providing accurate, current and complete information as prompted during registration, and keeping that information up to date thereafter. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether carried out by you personally or by any team member you have invited to access your account.

  • You must promptly notify us of any unauthorised use of your account, or any other actual or suspected breach of security, so that we can take appropriate action.
  • You are responsible for ensuring that any team members you invite to your account are made aware of, and agree to comply with, these Terms, and for the acts and omissions of those team members while using your account.
  • Accounts are intended for use by a single business or organisation; you must not share a single account login across unrelated businesses or resell access to your account to third parties.
  • We reserve the right to refuse registration, or to suspend or terminate an account, where registration information is found to be false, misleading or incomplete, or where we reasonably believe an account is being used in a manner inconsistent with these Terms.

4. Subscriptions and Packages

Access to Skillvora is provided on a subscription basis. Available features and usage limits (including, without limitation, the number of customer records, projects, employee records and team members) are determined by the package selected at the time of subscription, as described on our pricing page.

  • Subscriptions renew automatically at the end of each billing period (monthly or annually, as selected) unless cancelled in accordance with Section 6 before the renewal date.
  • We may introduce new packages, modify existing packages, or change the features or usage limits attached to a package, and will provide reasonable notice of any material change affecting an active subscription.
  • Upgrading to a higher package will typically take effect immediately, with any price difference charged on a pro-rata basis or at the next billing cycle, as indicated at checkout. Downgrading will typically take effect at the start of the next billing period, and may result in a reduction of available features or usage limits, or in data becoming inaccessible where it exceeds the limits of the new package.
  • Continued access to the dashboard, and to data held within it, depends on an active subscription in good standing.

5. Fees and Payment

Subscription fees are as set out on our pricing page at the time of purchase, and are payable in advance for each billing period unless otherwise stated. All fees are shown exclusive of VAT unless stated otherwise, and VAT (or other applicable taxes) will be added where required by law.

Customer payments for subscriptions are processed securely through Stripe, a third-party payment processor, including Bacs Direct Debit where available. By subscribing, you authorise Skillvora, via Stripe, to charge your chosen payment method on a recurring basis for the applicable subscription fee, and, where applicable, any additional charges arising from usage above your package's limits.

  • Skillvora does not itself store full card details or bank account credentials; these are captured and processed directly by Stripe under Stripe's own security and regulatory framework.
  • You are responsible for keeping your payment details up to date. If a payment fails, we may retry the charge, suspend access to your account, or both, until payment is successfully made.
  • Save as set out in Section 6 (Refunds), fees already paid are non-refundable, including where you choose to stop using the platform partway through a billing period.
  • We reserve the right to change subscription pricing on renewal, with reasonable advance notice provided before the change takes effect.

6. Money-Back Guarantee and Refunds

We offer a 14-day money-back guarantee on eligible purchases, calculated from the date of the Customer's initial qualifying subscription purchase. Where a Customer is not satisfied with the platform within this period, they may request a refund in accordance with this Section and any separately published refund terms.

  • Refund requests must be submitted through the channel specified on our website or within the dashboard, within 14 days of the qualifying purchase.
  • The guarantee applies to a Customer's first qualifying subscription purchase and, unless otherwise stated, does not apply to renewals, upgrades, add-ons, or subsequent purchases following a prior refund.
  • We reserve the right to decline a refund request, or to reduce the refunded amount, where there is evidence of misuse of the guarantee, excessive or abusive usage of the platform within the guarantee period, or a breach of these Terms.
  • Approved refunds will be processed to the original payment method within a reasonable time, typically within 5-10 business days, via Stripe.
  • Outside of the money-back guarantee period, fees are non-refundable except where required by applicable law, or at our discretion in exceptional circumstances.

7. Customer Data and Responsibilities

All data entered into Skillvora — including customer records, leads, project information, employee records, invoices, and income and expense entries — is entered by the Customer, remains the Customer's data, and is entered for the Customer's own business purposes.

  • The Customer is solely responsible for the accuracy, legality and completeness of all data entered into the platform.
  • The Customer is responsible for ensuring it has a lawful basis to collect, store and process any personal data relating to its own customers, leads and employees within the platform, and for complying with all applicable data protection law (including UK GDPR and the Data Protection Act 2018) in doing so.
  • The Customer remains solely responsible for its own obligations as an employer, including employment law, payroll and statutory HR requirements; Skillvora's HR module is a record-keeping aid only.
  • The Customer remains solely responsible for its own tax, accounting and financial reporting obligations; Skillvora's financial module helps organise records but does not constitute accounting, tax or financial advice, and does not file returns on the Customer's behalf.
  • The Customer is responsible for managing user access and permissions within its account, and for the acts and omissions of any team member it invites.

We act as a data processor in relation to personal data the Customer submits to the platform, and the Customer acts as the data controller of that data, in each case as those terms are defined under applicable data protection law. Further detail is set out in our Privacy Policy and, where applicable, a separate Data Processing Agreement.

8. Acceptable Use

You agree to use Skillvora only for lawful purposes connected to the operation of your business, and in accordance with these Terms. You must not:

  • Use the platform to store, process or transmit unlawful, fraudulent, defamatory, or infringing content, or personal data you are not lawfully entitled to hold.
  • Attempt to gain unauthorised access to any part of the platform, other Customers' accounts or data, or Skillvora's underlying systems.
  • Reverse engineer, decompile, scrape, or attempt to extract the underlying source code of the platform, except to the extent expressly permitted by law.
  • Use the platform to build a competing product or service, or resell access to the platform without our prior written consent.
  • Introduce viruses, malware or other harmful code, or carry out any activity that disrupts or degrades the platform's performance or security for other Customers.
  • Use the HR or financial modules to facilitate activity that would require Skillvora, rather than the Customer, to hold a regulatory authorisation we do not have (for example, operating as a payment institution, payroll bureau, or regulated financial adviser).

We reserve the right to investigate suspected breaches of this Section and to suspend or terminate access where a breach is reasonably suspected, without prejudice to any other rights or remedies available to us.

9. Intellectual Property

Skillvora and its licensors own all intellectual property rights in the platform, including its underlying software, source code, design, user interface, branding, trademarks and documentation. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your internal business purposes during the term of your subscription. No other rights are granted to you, whether by implication, estoppel or otherwise.

As between you and Skillvora, you retain all rights, title and interest in the data you submit to the platform, including your customer records, project data, employee records and financial entries ("Customer Data"). You grant Skillvora a limited, worldwide, royalty-free licence to host, store, process, back up and display Customer Data solely for the purpose of providing, maintaining, supporting and improving the platform, and as otherwise described in our Privacy Policy. We will not sell your Customer Data or use it for purposes unrelated to providing you with the service.

10. Third-Party Services

The platform integrates with certain third-party services, including Stripe for payment processing. Your use of these integrations may also be subject to the relevant third party's own terms and privacy policy, which we encourage you to review. We are not responsible for the acts, omissions, availability or performance of third-party services outside of our reasonable control.

11. Availability, Support and Changes to the Service

We aim to keep Skillvora available and operating reliably, targeting a high standard of uptime consistent with normal SaaS industry practice, but we do not guarantee uninterrupted, timely, secure or error-free access at all times. The platform may be unavailable from time to time for scheduled maintenance, emergency fixes, updates, or reasons beyond our reasonable control, including issues with underlying hosting infrastructure, network connectivity, or third-party services such as Stripe.

  • Where reasonably practicable, we will provide advance notice of planned maintenance likely to cause a material interruption to service.
  • We may modify, update or discontinue individual features of the platform from time to time as part of ordinary product development, and will provide reasonable notice of any change that materially reduces the functionality available under your existing package.
  • Support is provided in accordance with the channels and, where applicable, response-time expectations set out separately for your package tier. Higher package tiers may include priority or dedicated support channels, as described on our pricing page.
  • You are responsible for ensuring you have a suitable internet connection, an up-to-date and supported web browser, and appropriate device security in order to access and use the platform safely.

12. Disclaimers

The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all warranties, conditions and representations, whether express or implied, as to the platform's fitness for a particular purpose, accuracy, reliability, or that it will meet your specific requirements.

Skillvora is a software tool for recording and organising business information. It does not verify, audit or certify the accuracy of any data entered by Customers, and any reports generated by the platform are produced solely from Customer-entered data. Nothing on the platform constitutes accounting, tax, financial, investment, legal, employment or payroll advice, and Customers should seek independent professional advice on such matters where needed.

13. Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.

  • Subject to the above, our total aggregate liability to you arising out of or in connection with these Terms or your use of the platform, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you to Skillvora in the twelve (12) months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, special, or consequential loss, or for loss of profits, revenue, business, goodwill, or anticipated savings, even where such loss was foreseeable.
  • We are not liable for losses arising from the Customer's own errors, omissions or inaccuracies in data entered into the platform, or from the Customer's failure to comply with its own legal, tax, employment or regulatory obligations.

14. Indemnity

You agree to indemnify and hold Skillvora harmless from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any applicable law or the rights of any third party, including in relation to data you have entered about your own customers or employees.

15. Suspension and Termination

  • You may cancel your subscription at any time through your account settings or by contacting us; cancellation will take effect at the end of the current billing period unless otherwise agreed.
  • We may suspend or terminate your account, in whole or in part, immediately and without notice, where you materially breach these Terms, fail to make payment when due, or where we reasonably suspect fraudulent, unlawful or abusive use of the platform.
  • We may also terminate or suspend the service, or any part of it, on reasonable notice for operational or business reasons, including discontinuation of the platform.
  • On termination, your right to access the platform will cease. We will make reasonable efforts to allow you to export your data for a limited period following termination, after which data may be permanently deleted in accordance with our data retention practices.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes to the platform, our business, or applicable law. Where changes are material, we will provide reasonable notice before they take effect, such as by email or an in-app notification. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

17. General

  • Entire agreement. These Terms, together with our Privacy Policy and any package-specific terms, constitute the entire agreement between you and Skillvora regarding your use of the platform.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No waiver. Our failure to enforce any provision of these Terms shall not be considered a waiver of our right to do so later.
  • Governing law and jurisdiction. These Terms are governed by the laws of England and Wales, and any disputes arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
